1. General Terms & Conditions
- All business transactions with ATLEXO Trading Pvt Ltd (the "Company") are governed by this policy together with the mutually accepted quotation, purchase order, proforma invoice or sales agreement.
- Products are subject to availability, seasonal conditions, market fluctuations and applicable import/export regulations.
- Product specifications — including grade, size, origin, weight, moisture requirements and packaging — shall be agreed in writing before order confirmation.
- Prices are quoted in Indian Rupees (INR), unless otherwise stated in writing. Prices may be revised before order confirmation to reflect changes in procurement costs, exchange rates, freight, duties or market conditions.
- Any amendment to a confirmed order must be approved by both parties in writing.
2. Product Quality & Inspection Policy
- The Company aims to supply products in accordance with the quality and specifications agreed for each transaction.
- Natural agricultural products may vary in colour, shape, taste, texture and size due to crop, variety, season and climatic conditions. Such natural variation is not, by itself, proof of a defect where the goods meet agreed specifications.
- Buyers should inspect goods promptly on delivery and notify the Company of visible damage, shortage or a quality discrepancy within the period stated in the sales agreement. Where no period is stated, notice should be provided as soon as reasonably practicable.
- Claims should include supporting evidence, such as photographs, videos, delivery records, batch details and, where appropriate, an independent laboratory report.
- Quality claims will be assessed against the agreed specifications and available evidence. A claim does not automatically entitle a buyer to a refund or replacement; any remedy will be determined under the transaction agreement and applicable law.
3. Pricing & Payment Policy
- Prices and payment terms shall be stated in the official quotation, proforma invoice or sales agreement.
- Advance, partial, balance and credit payments shall be made in the amounts, currency, method and timeframes mutually agreed in writing.
- For credit transactions, payment is due within the agreed credit period. The Company may suspend further supply where an amount is overdue, subject to the agreement and applicable law.
- Late-payment interest or charges apply only where expressly agreed in writing and legally permissible.
- Bank charges, international transfer fees and currency conversion costs shall be borne by the party identified in the sales agreement.
- The Company may defer dispatch until agreed payment and documentation requirements have been met.
4. Order Confirmation & Cancellation Policy
- An order is confirmed when the buyer accepts the quotation or proforma invoice and satisfies the stated confirmation requirements.
- Requests to cancel or amend an order must be submitted in writing and are subject to the Company's written acceptance.
- Where goods have been procured, packed, dispatched or specially sourced for a confirmed order, cancellation may be subject to reasonable, documented costs incurred, as permitted by the agreement and applicable law.
- Advance payments, deductions and any eligible refunds following cancellation shall be handled in accordance with the written agreement and applicable law.
- Specific cancellation conditions for customised, specially sourced or perishable products should be agreed before the order is placed.
5. Shipping & Delivery Policy
- Delivery dates and transit times are estimates unless a firm date is expressly agreed in writing.
- Transportation, freight, insurance, export formalities, import clearance, duties and taxes shall be allocated between the parties in the sales agreement, including any applicable Incoterms® rule and named place.
- Risk of loss or damage transfers at the point specified in the agreed delivery terms.
- The Company will take reasonable steps to coordinate dispatch and provide shipping documents within its responsibility under the agreement.
- Transit damage, shortage or delivery discrepancies should be recorded with the carrier and reported to the Company promptly, with supporting evidence.
- Delays caused by customs, port congestion, transport disruption, adverse weather, government action or other events beyond a party's reasonable control shall be addressed under the delivery and force majeure provisions of the agreement.
6. Returns, Claims & Refunds
- Returns are subject to the nature of the goods, the agreed sales terms and applicable law. Perishable or food products may require special handling and prior written return authorisation.
- Where goods materially fail to meet confirmed specifications, the buyer should notify the Company within the claim period set out in the sales agreement and provide reasonable evidence.
- If a claim is accepted, the available remedy — such as replacement, credit note, price adjustment or refund — shall be agreed in writing, subject to applicable law.
- Goods affected by improper storage, mishandling, contamination or alteration after risk has transferred may not qualify for a claim to the extent the issue is attributable to the buyer.
- Approved refunds shall be processed using the agreed payment method within the timeframe confirmed by the parties.
7. Packaging & Storage Policy
- Products shall be packed in accordance with agreed specifications, product characteristics, destination requirements and the intended mode of transport.
- Food-grade packaging and labelling shall be used where required by applicable regulations.
- After delivery and transfer of risk, the buyer is responsible for suitable storage, hygiene, temperature and humidity control, pest prevention and product rotation, in line with any handling instructions provided.
- Special packaging, private labelling, language requirements or export-specific markings must be agreed before order confirmation.
8. Import & Export Trade Policy
- International transactions are subject to applicable laws, customs rules, food safety requirements, trade controls and restrictions in the countries involved.
- The parties shall agree who is responsible for permits, registrations, customs clearance, duties, taxes, freight and insurance, in accordance with the chosen delivery terms.
- Commercial invoices, packing lists, certificates of origin, phytosanitary or health certificates and other documents shall be arranged by the responsible party as required by the transaction and applicable regulations.
- The buyer is responsible for confirming that the goods may lawfully be imported into the destination market and for obtaining import permits or approvals allocated to the buyer.
- The Company shall provide accurate product and shipment information and the documents within its agreed responsibility.
- Payments shall be made through lawful, mutually agreed channels and in compliance with applicable foreign exchange and banking regulations.
- Changes in duties, sanctions, trade restrictions, customs procedures or government requirements shall be handled under the agreement and applicable law.
9. Force Majeure
- A party shall not be liable for delay or failure to perform to the extent caused by events beyond its reasonable control, such as natural disasters, severe weather, war, civil unrest, border closures, government restrictions, port or transport disruptions, epidemics or major supply-chain interruptions.
- The affected party shall notify the other party as soon as reasonably practicable, describe the expected impact and take reasonable steps to reduce the disruption.
- The parties shall discuss appropriate measures, which may include revised delivery schedules, partial performance or termination where permitted by the agreement and applicable law.
10. Liability & Risk Management
- Each party is responsible for performing its express obligations under the relevant transaction agreement.
- Any exclusion or limitation of liability must be expressly stated in the applicable agreement and is effective only to the extent permitted by applicable law.
- Neither party shall be liable for indirect or consequential loss to the extent such exclusion is valid under applicable law and the transaction agreement.
- Nothing in this policy excludes liability for fraud, wilful misconduct or any liability that cannot legally be excluded.
- The buyer is responsible for handling, storage and use of goods after risk transfers under the agreed delivery terms.
11. Confidentiality & Business Relations
- Each party shall protect non-public commercial information received from the other party, including pricing, supplier and customer details, trade arrangements and business documents.
- Confidential information shall not be disclosed to third parties without prior consent, except where disclosure is required by law or reasonably necessary to perform the transaction.
- Both parties shall conduct dealings in good faith and with professional integrity, transparency and mutual respect.
12. Dispute Resolution & Governing Law
- The parties shall first attempt to resolve disputes through good-faith commercial discussions.
- If a dispute remains unresolved, the parties may use mediation, arbitration or court proceedings as specified in the signed transaction agreement.
- The governing law, court jurisdiction and, where relevant, arbitration seat and rules should be expressly stated in the transaction agreement.
- Nothing in this policy limits rights or remedies that cannot lawfully be waived.
13. Policy Amendments
- The Company may update its general policies to reflect operational, commercial or regulatory changes.
- Updated policies shall be communicated to relevant parties and shall not change the terms of an already confirmed transaction unless agreed by the parties or required by law.
14. Acceptance of Terms
- By placing an order or entering into a transaction, the buyer agrees to the terms communicated for that transaction, subject to applicable law.
- If a signed agreement, accepted purchase order or quotation contains terms that conflict with this general policy, the transaction-specific terms prevail to the extent of the conflict, unless otherwise agreed or required by law.
These are the Company's general business policies and are not a substitute for a signed, transaction-specific agreement. For bulk or cross-border shipments, a separate commercial sales agreement will set out specifications, tolerances, inspection, payment security, the applicable Incoterms® rule, insurance and dispute terms.
